Terms and Conditions

These terms are an agreement between you and ProDexter AI, LLC, an Oklahoma limited liability company (“ProDexter”, “we”, “us”). By using prodexter.app or the ProDexter service you agree to them. If you use the service for an organization, you confirm you can bind it.

You must be at least 18 and able to form a binding contract. Keep your account credentials secure. You are responsible for activity under your account.

ProDexter offers a Free Sandbox plan at $0 and paid plans, as described on the pricing page. Features and limits for each plan are shown there and may change with notice.

ProDexter is bring your own key. You are responsible for your AI provider account, your keys, all usage charges from your provider, and compliance with the provider’s terms. We are not a party to your agreement with a provider and are not responsible for provider charges, outages or outputs. Keep your keys secure and revoke any key you believe is exposed.

Paid plans are billed in advance at the price shown when you subscribe, and renew automatically until cancelled. You can cancel at any time and the cancellation takes effect at the end of the current billing period. Refunds: If you cancel a paid subscription within the first 14 days of your initial purchase, you may request a full refund. After 14 days, cancellations take effect at the end of the current billing cycle and no partial refunds are issued. Downgrades to a lower plan take effect at the next renewal date.. Taxes may apply.

You agree not to break the law, infringe others’ rights, attack or overload the service, attempt to access data that is not yours, resell the service without permission, or use it to build content that is harmful or deceptive.

You own your data. You give us a limited license to process it, and data from apps you connect, only as needed to provide the service to you. You are responsible for having the right to connect those apps and process that data.

We and our licensors own the service, its software and branding. We grant you a limited, non-exclusive, non-transferable right to use the service under these terms. Feedback you give us may be used without obligation.

The service works with third-party apps and AI providers. Those are governed by their own terms, and we are not responsible for them.

Beta features are provided as is, may change or be withdrawn, and may be less reliable than other features.

Each party will protect the other’s non-public information with reasonable care and use it only to perform under these terms, except where disclosure is required by law.

The service is provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a purpose and non-infringement. AI outputs may be inaccurate, and you are responsible for reviewing them.

To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential or punitive damages, or lost profits or data. Our total liability is limited to To the maximum extent permitted by applicable law, ProDexter’s total cumulative liability for any claims arising out of or related to these Terms or the Service shall not exceed the greater of (a) the total fees you paid to ProDexter in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred US dollars (USD 100)..

You will defend and indemnify us against claims arising from your data, your use of the service in breach of these terms, or your AI provider accounts and keys.

These terms apply while you use the service. You may stop at any time. We may suspend or end access for breach or risk to the service. Sections that by nature should survive will survive termination.

These terms are governed by the laws of the State of Oklahoma, USA, without regard to conflict of law rules. Disputes will be brought in the courts located in the state and federal courts located in Delaware, United States, Oklahoma, and you consent to that venue.

We may update these terms. We will change the “Last updated” date and give reasonable notice of material changes. Continued use after changes means you accept them.
